Terms of Service

Please read these Terms of Service carefully before using the Crowdfunding Education website and online courses operated by Maple Learning Inc.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Maple Learning Inc. ("Company," "we," "us," or "our"), a corporation registered in the Province of Ontario, Canada, with its principal office located at 350 Bay Street, Suite 700, Toronto, Ontario, M5H 2S6.

By accessing or using the website located at www.crowdfundingeducation.ca (the "Website"), enrolling in any of our online courses, attending webinars, downloading training materials, or otherwise interacting with our educational services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use our Website or Services.

You must be at least 18 years of age or the age of majority in your province or territory of residence, whichever is greater, to use our Services. By using the Website, you represent and warrant that you meet this minimum age requirement. If you are accessing the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

These Terms apply to all visitors, registered users, students, and any other persons who access or use the Website and Services. Certain features of the Services may be subject to additional terms and conditions, which will be presented to you at the time you access those features. Such additional terms are incorporated into these Terms by reference.

2. Description of Services

Maple Learning Inc. operates an educational platform that provides structured online courses, webinars, and training materials focused on crowdfunding ecosystems in Canada. Our Services are designed to educate learners about digital funding models, campaign structures, participant roles, regulatory frameworks, and risk awareness within the crowdfunding landscape.

Our Services specifically include:

  • Online Course Access: Self-paced educational modules covering crowdfunding fundamentals, Canadian regulatory environments, campaign analysis, and responsible participation frameworks.
  • Educational Webinars: Live and recorded webinar sessions featuring educators, guest speakers, and subject matter experts discussing topics related to crowdfunding education.
  • Training Materials: Downloadable workbooks, case study compilations, reference guides, and supplementary reading materials that accompany our course curriculum.
  • Informational Content: Blog articles, educational resources, and research summaries published on the Website for general informational purposes.

Critical Distinction

Our Services are exclusively educational and informational in nature. We do not operate a crowdfunding platform, facilitate financial transactions between campaign creators and contributors, provide financial advice, offer investment recommendations, or act as a securities dealer, investment advisor, or financial institution. Nothing in our course content, webinars, or materials should be interpreted as financial, legal, or investment advice. Users should consult qualified professionals before making any financial decisions.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, including the availability of any course, feature, database, or content. We may also impose limits on certain features or restrict your access to parts or all of the Services without notice or liability.

3. User Obligations

When using our Website and Services, you agree to conduct yourself lawfully and respectfully. You are responsible for ensuring that your use of the Services complies with all applicable federal, provincial, and municipal laws and regulations in Canada, as well as any laws applicable in your jurisdiction if you are accessing the Services from outside Canada.

You agree that you will not:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
  • Reproduce, distribute, publicly display, or create derivative works from our course content, training materials, or any other proprietary content without our express written permission.
  • Share your account credentials with any other person or allow others to access paid course materials through your account.
  • Attempt to gain unauthorized access to any portion of the Website, other user accounts, computer systems, or networks connected to the Website through hacking, password mining, or any other means.
  • Use any automated system, including robots, spiders, scrapers, or data mining tools, to access, collect, or monitor content from the Website.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
  • Interfere with or disrupt the operation of the Website or the servers or networks used to make the Website available, including by transmitting any viruses, worms, defects, or other items of a destructive nature.
  • Upload or transmit any content that is defamatory, obscene, threatening, abusive, or otherwise objectionable.
  • Use course materials or our platform to promote specific crowdfunding campaigns, solicit funds, or provide financial advice to others.
  • Represent that any opinions or analysis presented in our educational materials constitute professional financial, legal, or investment counsel.

Violation of these obligations may result in immediate suspension or termination of your access to the Services, at our sole discretion, without refund. We reserve the right to investigate any suspected violation and to cooperate with law enforcement authorities in the prosecution of users who violate these Terms.

4. User Accounts

To access certain features of the Services, including paid course content and webinar registrations, you may be required to create a user account. When creating an account, you must provide accurate, current, and complete information. You agree to update your account information promptly if any changes occur.

You are solely responsible for maintaining the confidentiality of your account login credentials, including your password. You agree to notify us immediately at [email protected] if you become aware of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.

Each account is intended for use by a single individual. Corporate, institutional, or group licenses are available upon request and are governed by separate licensing agreements. You may not transfer or assign your account to another person without our prior written consent.

5. Intellectual Property

All content available on the Website and through the Services, including but not limited to course materials, video lectures, written content, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof (collectively, "Content"), is the exclusive property of Maple Learning Inc. or its content suppliers and is protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Content solely for your personal, non-commercial educational purposes. This license does not include the right to:

  • Resell, redistribute, or make commercially available any Content or any portion thereof.
  • Reproduce, duplicate, copy, or otherwise exploit Content for any commercial purpose.
  • Modify, create derivative works from, or reverse engineer any Content.
  • Download, record, or capture video lectures or webinar sessions except through functionality expressly provided by the platform.
  • Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices contained in the Content.

The Crowdfunding Education name, the CF logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Maple Learning Inc. You must not use such marks without our prior written permission.

If you believe that any content on our Website infringes upon your intellectual property rights, please contact us at [email protected] with a detailed description of the alleged infringement. We will review all such claims in accordance with applicable Canadian copyright law.

6. Payment and Refunds

Certain Services require payment of fees, including course enrollment fees, webinar registration fees, and training material purchase prices. All fees are quoted in Canadian dollars (CAD) unless otherwise specified and are inclusive of applicable Harmonized Sales Tax (HST) where required by Ontario tax regulations.

Payment is processed through secure third-party payment processors. We do not store your complete credit card information on our servers. By providing payment information, you represent and warrant that you are authorized to use the payment method and that the information you provide is accurate and complete.

We offer a 14-day refund policy for course enrollments, beginning from the date of purchase. To be eligible for a refund, you must submit a refund request to [email protected] within the 14-day period and must not have completed more than 25% of the course content. Refunds for webinar registrations are available up to 48 hours before the scheduled webinar. Downloadable training materials are non-refundable once downloaded.

We reserve the right to change our pricing at any time. Price changes will not affect courses or materials you have already purchased but will apply to future purchases. Any promotional pricing or discount codes are subject to specific terms that will be communicated at the time of the promotion.

7. Disclaimers

The Services and all Content are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by applicable Canadian law, Maple Learning Inc. disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

Without limiting the foregoing, we do not warrant or guarantee that:

  • The Services will be uninterrupted, timely, secure, or error-free.
  • The Content is accurate, complete, reliable, current, or free from errors or omissions.
  • The results obtained from using the Services will meet your expectations or requirements.
  • Any defects in the Services will be corrected within a specific timeframe.
  • The Website is free from viruses, malware, or other harmful components.

Educational Content Disclaimer

All course content, webinar presentations, training materials, and informational resources provided through the Services are for educational and informational purposes only. They do not constitute and should not be construed as financial advice, investment advice, legal counsel, tax guidance, or any other form of professional consultation. The crowdfunding landscape, regulatory environment, and platform features discussed in our educational materials may change over time, and we do not guarantee the ongoing accuracy of any specific factual claim or regulatory reference. You acknowledge that any reliance on the Content or information provided through the Services is at your own risk. 8. Limitation of Liability

To the maximum extent permitted by applicable law in the Province of Ontario and Canada, in no event shall Maple Learning Inc., its directors, officers, employees, agents, affiliates, successors, or assigns be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, regardless of whether we have been advised of the possibility of such damages, arising out of or in connection with:

  • Your use of or inability to use the Services.
  • Any conduct or content of any third party on the Services.
  • Any Content obtained from the Services.
  • Unauthorized access to, use of, or alteration of your transmissions or data.
  • Any financial decisions made based on educational content provided through our Services.
  • Any participation in crowdfunding campaigns or other financial activities informed by knowledge gained through our courses.

Our total aggregate liability to you for all claims arising from or related to these Terms or the Services shall not exceed the total amount paid by you to Maple Learning Inc. during the twelve (12) months immediately preceding the event giving rise to such liability, or one hundred Canadian dollars (CAD $100.00), whichever is greater.

Some provinces and territories do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under Canadian consumer protection legislation.

9. Indemnification

You agree to defend, indemnify, and hold harmless Maple Learning Inc. and its directors, officers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation.
  • Your use or misuse of the Services or Content.
  • Any content or information you submit, post, or transmit through the Services.
  • Your violation of the rights of any third party, including intellectual property rights, privacy rights, or publicity rights.
  • Any claim by a third party that your use of the Services caused damage to that third party.
  • Your representation to others that our educational content constitutes professional financial, legal, or investment advice.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. This indemnification obligation shall survive the termination of these Terms and your use of the Services.

10. Third-Party Links and Affiliate Disclosures

The Website and our educational materials may contain links to third-party websites, services, or resources that are not owned or controlled by Maple Learning Inc. These links are provided solely for your convenience and informational purposes. We have no control over, and assume no responsibility for, the content, privacy policies, practices, accuracy, or opinions expressed on any third-party website or service.

Your interactions with third-party websites, including any purchases or transactions, are solely between you and the third party. We are not responsible for any damage or loss caused or alleged to be caused by or in connection with your use of any third-party content, goods, or services. We encourage you to review the terms of service and privacy policies of any third-party websites you visit.

Some links on our Website may be affiliate links to educational tools, books, or resources. When you click on an affiliate link and make a purchase, we may receive a small commission at no additional cost to you. All affiliate relationships are clearly disclosed. Affiliate partnerships do not influence our editorial content, course curriculum, or educational recommendations. The inclusion of affiliate links does not constitute an endorsement or guarantee of the third-party product or service.

We do not include affiliate links to crowdfunding platforms, financial products, investment services, or securities dealers. Our affiliate relationships are limited to educational tools, published books, productivity software, and similar learning resources.

11. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, store, and disclose your personal information. Our Privacy Policy is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described in our Privacy Policy.

Maple Learning Inc. is committed to complying with the Personal Information Protection and Electronic Documents Act (PIPEDA) and all applicable Canadian privacy legislation. We implement reasonable technical, administrative, and physical security measures to protect your personal information against unauthorized access, alteration, disclosure, or destruction.

12. Governing Law and Jurisdiction

These Terms and any disputes arising from or relating to them, or to the Services, shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles that would result in the application of the laws of any other jurisdiction.

You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the courts of competent jurisdiction located in the City of Toronto, Province of Ontario, Canada. You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum or lack of jurisdiction.

If you are accessing the Services from outside Canada, you do so at your own initiative and are responsible for compliance with local laws. These Terms are not intended to subject Maple Learning Inc. to the jurisdiction of any country or territory outside of Canada.

13. Dispute Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute") through informal negotiation. You must send a written notice describing the nature of the Dispute and your desired resolution to Maple Learning Inc. at 350 Bay Street, Suite 700, Toronto, Ontario, M5H 2S6, or by email to [email protected].

Both parties agree to negotiate in good faith for a minimum period of thirty (30) calendar days from the date the written notice is received. During this negotiation period, neither party shall initiate formal legal proceedings relating to the Dispute except where necessary to preserve a legal right or prevent irreparable harm.

If the Dispute cannot be resolved through informal negotiation within the thirty-day period, either party may submit the Dispute to binding arbitration administered by the ADR Institute of Ontario, conducted in Toronto, Ontario, in accordance with the ADR Institute's arbitration rules then in effect. The arbitration shall be conducted by a single arbitrator. The language of the arbitration shall be English. The decision of the arbitrator shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction.

Notwithstanding the above, nothing in this section shall prevent either party from seeking injunctive or other equitable relief from the Ontario courts for any actual or threatened infringement of intellectual property rights or breach of confidentiality obligations.

14. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if we determine, at our sole discretion, that you have breached these Terms. Grounds for termination include, but are not limited to, sharing account access with unauthorized users, redistributing course materials, engaging in abusive behaviour toward staff or other students, or using our platform to promote financial products or services.

Upon termination, your right to use the Services will immediately cease. You will lose access to any course content, downloaded materials, and account data associated with your terminated account. If your account is terminated for a breach of these Terms, you will not be entitled to a refund of any fees paid.

You may terminate your account at any time by sending a written request to [email protected]. Voluntary termination does not entitle you to a refund unless you are within the 14-day refund period described in Section 6.

The following sections of these Terms shall survive termination: Intellectual Property (Section 5), Disclaimers (Section 7), Limitation of Liability (Section 8), Indemnification (Section 9), Governing Law and Jurisdiction (Section 12), and Dispute Resolution (Section 13).

15. Changes to Terms

We reserve the right to modify these Terms at any time, at our sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page and, for material changes, we will provide at least fourteen (14) calendar days' advance notice before the new terms take effect.

Notice of material changes may be provided through one or more of the following methods: a prominent notice on our Website homepage, an email notification sent to the address associated with your account, or a notification within the course platform upon your next login.

Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must discontinue your use of the Services before the changes take effect. For enrolled students with active course access, we will honour the Terms in effect at the time of your enrollment for the duration of your course access period, except where changes are required by law.

We encourage you to periodically review these Terms to stay informed about your rights and responsibilities. Prior versions of these Terms are available upon request by contacting us at the email address provided below.

Additional Provisions

Severability

If any provision of these Terms is found to be unenforceable, invalid, or illegal by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intended purpose, or if modification is not possible, it shall be severed from these Terms.

Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and Educational Disclaimer, constitute the entire agreement between you and Maple Learning Inc. regarding your use of the Services. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between you and Maple Learning Inc.

Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or any of your rights or obligations hereunder without our prior written consent. We may assign these Terms and our rights and obligations hereunder, in whole or in part, without restriction in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

Force Majeure

Maple Learning Inc. shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, government actions, war, terrorism, labour disputes, power failures, internet disruptions, pandemics, or other force majeure events.
